Pre-Purchase Inspection Terms and Conditions

These Pre-Purchase Inspection Terms and Conditions (“Terms”) apply to all vehicle inspection services provided by WellGuide LLC, doing business as AutoDNA (“AutoDNA,” “we,” “us,” or “our”).
By booking, authorizing, paying for, receiving, or using an AutoDNA inspection or inspection report, the customer ordering the service (“Customer” or “you”) acknowledges that they have read, understood, and agreed to these Terms.
1. Purpose of the Inspection
An AutoDNA pre-purchase inspection (“Inspection”) is intended to provide the Customer with an independent professional opinion regarding the observable condition of a vehicle at the time and place of the Inspection.
The Inspection is informational only. It is not:
- A warranty, guarantee, certification, appraisal, insurance policy, or promise regarding the vehicle’s condition or future performance;
- A Texas state safety inspection, emissions inspection, or governmental certification;
- A substitute for a manufacturer, dealership, collision-repair, or specialized repair-facility diagnosis;
- A guarantee that the vehicle is safe, reliable, roadworthy, free from defects, or suitable for any particular purpose; or
- A recommendation or instruction to purchase or decline the vehicle.
The decision to purchase, decline, negotiate for, transport, insure, register, repair, maintain, or operate the vehicle remains solely with the Customer.
2. Selected Inspection Package
The Inspection is limited to the services expressly included in the package selected by the Customer and confirmed by AutoDNA.
Services such as a test drive, vehicle-history report, paint-thickness measurements, post-drive diagnostic scan, detailed photographs, or written report are included only when expressly stated in the selected package or order confirmation.
If a particular item, system, concern, or requested service is not expressly addressed in the completed report, the Customer should not assume that it was inspected, tested, verified, or found to be free from defects.
Verbal comments made by an inspector are supplementary professional observations. The written report controls if there is any conflict between a verbal statement and the written report.
3. Limited and Non-Invasive Inspection
Unless expressly agreed otherwise in writing, AutoDNA performs a limited, non-invasive inspection of reasonably accessible and observable vehicle components.
AutoDNA inspectors do not ordinarily:
- Disassemble the vehicle or remove engine, transmission, interior, body, suspension, brake, or electrical components;
- Remove wheels, covers, shields, panels, carpeting, trim, seats, or underbody protection;
- Place the vehicle on a shop lift;
- Perform compression, leak-down, fuel-pressure, oil-pressure, fluid-analysis, alignment, frame-machine, borescope, dynamometer, or laboratory testing;
- Open sealed systems or dismantle components to determine their internal condition; or
- Verify the authenticity of the VIN, title, ownership documents, mileage, service records, warranties, liens, recalls, or seller representations.
Components hidden by covers, shields, dirt, corrosion, fluids, aftermarket modifications, cargo, personal property, limited ground clearance, or vehicle construction may not be observable.
Some mechanical, electrical, structural, safety, and cosmetic defects cannot be identified without disassembly, extended operation, specialized testing, a lift, or diagnosis by a qualified repair facility.
4. Customer and Seller Authorization
The Customer represents that they are authorized to order the Inspection and that the vehicle owner, seller, dealership, or other authorized representative has granted permission for AutoDNA to access and inspect the vehicle.
Where applicable to the selected package, the Customer is responsible for obtaining permission for:
- Visual and non-invasive inspection of the vehicle;
- Access to the passenger compartment, trunk, cargo area, engine compartment, and other normally accessible areas;
- Connection of diagnostic equipment to the vehicle;
- Photographs and video recordings of the vehicle;
- Starting and operating the vehicle; and
- A test drive by the inspector or another authorized person.
AutoDNA may rely on the Customer’s representation that all necessary permissions have been obtained. AutoDNA is not responsible for delays, incomplete services, or inability to perform the Inspection resulting from missing, withdrawn, or restricted permission.
The seller, dealership, vehicle owner, or property owner may limit or withdraw access at any time. AutoDNA will document material limitations when reasonably possible but is not responsible for restrictions imposed by third parties.
5. Inspection Conditions and Access
The accuracy and completeness of an Inspection may be affected by:
- Rain, snow, extreme heat, darkness, poor lighting, or unsafe weather;
- A wet, dirty, recently detailed, wrapped, or freshly repaired vehicle;
- An unsafe, crowded, sloped, restricted, or poorly lit inspection location;
- The seller’s refusal to provide keys, unlock compartments, permit a test drive, allow diagnostic access, or move the vehicle;
- A discharged battery, low fuel level, warning message, mechanical condition, or vehicle that cannot be safely started or operated;
- Security gateways, software restrictions, aftermarket electronics, modifications, or incompatible diagnostic systems; and
- Time, access, or operating restrictions imposed by the seller, dealership, property owner, weather, traffic, or applicable law.
The Customer is responsible for providing accurate vehicle and location information and arranging the seller’s authorization and reasonable access to the vehicle.
AutoDNA may limit, decline, or discontinue an Inspection when conditions are unsafe, unlawful, likely to damage the vehicle, or outside the selected service.
6. Appointment Times and Arrival Delays
Appointment times and arrival windows are estimates and are not guaranteed.
AutoDNA will make commercially reasonable efforts to arrive and perform the Inspection at the scheduled time. Arrival or completion may be delayed by traffic, weather, road conditions, a prior inspection, vehicle-access issues, seller availability, safety concerns, equipment problems, or other circumstances outside AutoDNA’s reasonable control.
AutoDNA will make a reasonable effort to notify the Customer of a material delay. A delay does not expand the scope of the Inspection or create liability for lost opportunities, travel expenses, loss of use, loss of a vehicle purchase, or other consequential damages.
If AutoDNA cannot perform the Inspection on the scheduled date, the Customer may accept a new appointment or cancel without charge and receive a refund of any amount already paid for the unperformed Inspection.
7. Condition at the Time of Inspection
The report describes conditions observed during the Inspection only. It does not describe or guarantee the vehicle’s condition before or after the Inspection.
Vehicle conditions may change after the Inspection. A defect may be intermittent, concealed, temporarily corrected, recently cleared, not producing symptoms, or not reasonably observable during the limited inspection period.
A vehicle may operate normally during the Inspection and experience a failure afterward. AutoDNA cannot predict the remaining service life of any component or guarantee that a component described as operational will continue to operate.
8. Diagnostic Scanning Limitations
When diagnostic scanning is included, AutoDNA will make a reasonable effort to scan the vehicle using compatible equipment and available access.
A diagnostic scan:
- Is limited to modules and information accessible through the vehicle’s diagnostic system;
- May be restricted by a secure gateway, manufacturer authorization requirement, communication failure, low battery voltage, damaged connector, aftermarket equipment, or incompatible software;
- May not reveal recently cleared, intermittent, manufacturer-specific, or not-yet-triggered faults;
- Cannot prove that a vehicle has no mechanical, electrical, emissions, safety, or computer-related problems; and
- Does not independently establish the cause of a fault code or the repair required.
The absence of a current diagnostic trouble code or warning light does not establish that the vehicle or system is free from defects.
Hybrid and electric-vehicle data, when accessible, is limited to information made available by the vehicle. AutoDNA does not guarantee high-voltage battery capacity, remaining life, internal condition, or future performance unless a specific written battery test was separately included.
9. Test Drive Limitations
A test drive is performed only when it is included in the selected package and when:
- The seller or authorized representative grants permission;
- The vehicle appears reasonably safe and legal to operate;
- Road, traffic, weather, fuel, registration, insurance, and location conditions permit; and
- The inspector determines that the test drive can be performed safely.
The route, speed, distance, and duration may be limited. Certain defects may occur only at speeds, temperatures, loads, distances, or operating conditions that cannot be safely or legally reproduced.
If the report does not expressly state that a test drive was completed, no completed test drive should be assumed.
10. Paint, Body, Structural, and Previous-Repair Limitations
AutoDNA may visually inspect for evidence of previous paintwork, body repair, structural damage, corrosion, flood exposure, or other prior damage when included in the selected package.
Paint-thickness measurements may be affected or made impossible by:
- Plastic, fiberglass, carbon-fiber, aluminum, or other non-ferrous panels;
- Paint-protection film, vinyl wraps, coatings, dirt, moisture, or panel geometry;
- Factory paint variation or previous cosmetic work; and
- Areas that are unsafe or inaccessible to the inspector.
The absence of visible evidence or abnormal paint readings does not guarantee that the vehicle has never been damaged, repaired, repainted, flooded, or structurally affected.
AutoDNA does not perform frame-machine measurements, structural disassembly, or collision-repair certification.
11. Tires, Brakes, Fluids, Leaks, and Wear Items
Measurements and condition assessments are approximate unless the report expressly provides a specific measurement.
Brake pads, rotors, tires, suspension components, leaks, and fluid conditions may be partially concealed or inaccessible without wheel removal, a lift, disassembly, cleaning, or specialized testing.
A component may be described as operational or serviceable at the time of the Inspection without any representation concerning its exact remaining life.
Normal wear, maintenance needs, manufacturer service intervals, or anticipated repairs may exist even when they are not individually identified in the report.
12. Vehicle-History Reports and Third-Party Information
Any CARFAX, AutoCheck, recall search, market information, service record, or other third-party information supplied with an Inspection is produced and controlled by the applicable third party.
AutoDNA does not create or independently verify third-party records and does not guarantee their accuracy, completeness, or timeliness.
Accidents, title events, repairs, mileage discrepancies, liens, recalls, ownership changes, or other events may be missing, delayed, incorrect, or never reported to the applicable database.
13. Personal Property, Accessories, and Missing Items
The Inspection is not an inventory, theft-prevention, or accessory-verification service.
Unless a specific item is expressly included in the selected package or identified in writing by the Customer before the Inspection, AutoDNA does not undertake to verify the presence, authenticity, ownership, completeness, or operation of:
- Portable, detachable, or removable accessories;
- Charging cables, adapters, tools, keys, remotes, manuals, cargo covers, floor mats, spare tires, or emergency equipment;
- Removable speakers, entertainment devices, storage accessories, or dealer-installed items;
- Optional equipment, subscription-based features, software licenses, or factory package contents; or
- Personal property represented by the seller as included with the vehicle.
Photographs are provided to document selected observations and are not a complete inventory of everything present or absent from the vehicle.
The Customer must independently confirm all promised equipment, accessories, keys, documents, and personal property with the seller before completing the purchase.
14. Professional Opinions and Risk Ratings
Inspection findings, condition descriptions, severity classifications, repair recommendations, and risk ratings are professional opinions based on the conditions and information reasonably available during the Inspection.
Terms such as “good,” “acceptable,” “moderate risk,” “high risk,” “operational,” “passed,” “serviceable,” or similar descriptions do not constitute a warranty or guarantee.
A system marked as operational or passed means only that it responded or operated during the applicable limited check. It does not mean that every component, function, accessory, or operating mode was inspected or is free from defects.
Repair-cost figures, when provided, are general estimates only. Actual costs may vary based on diagnosis, labor rates, parts availability, geographic location, taxes, and additional damage discovered during repair.
15. Further Diagnosis
AutoDNA may recommend further evaluation by a qualified repair facility, dealership, collision center, tire shop, transmission specialist, electrician, or other specialist.
When further diagnosis is recommended, the underlying cause, severity, repair method, and cost have not necessarily been established by the Inspection.
The Customer is responsible for obtaining any additional diagnosis considered necessary before purchasing the vehicle.
16. Report Use and No Third-Party Reliance
The Inspection and report are prepared solely for the Customer who ordered the Inspection and for that Customer’s personal evaluation of the identified vehicle.
The Customer may share the report with a seller, dealership, repair facility, lender, insurer, family member, prospective buyer, or other person for informational purposes. However, sharing the report does not:
- Make the recipient a customer of AutoDNA;
- Create any contract, duty, warranty, representation, or professional relationship between AutoDNA and the recipient;
- Authorize the recipient to rely upon the report as a substitute for obtaining their own inspection; or
- Give the recipient any right to assert a claim against AutoDNA arising from the Inspection or report.
No third party is an intended beneficiary of the Inspection, report, or these Terms. Any person other than the Customer who receives or reviews the report does so at their own risk and may not rely upon it without AutoDNA’s express written authorization.
The Customer may not alter the report or present an altered, incomplete, or outdated version as an original AutoDNA report.
17. Inspection Records and Data Retention
In connection with providing the Inspection, AutoDNA may collect, create, receive, use, and retain records including:
- Customer and seller contact information;
- Vehicle identification number, license plate, mileage, make, model, and vehicle location;
- Photographs and videos of the vehicle;
- Diagnostic trouble codes, scan results, live data, readiness-monitor information, and battery or charging-system data;
- Inspection reports, notes, measurements, communications, appointment records, invoices, and payment records; and
- Records relating to customer support, complaints, refunds, payment disputes, chargebacks, or legal claims.
AutoDNA may retain and use these records as reasonably necessary to:
- Schedule, perform, document, and deliver the Inspection;
- Provide customer support and respond to questions;
- Conduct internal training and quality control;
- Investigate complaints or suspected fraud;
- Respond to payment disputes and chargebacks;
- Establish, exercise, or defend legal claims;
- Maintain business and accounting records; and
- Comply with applicable legal, regulatory, tax, insurance, or recordkeeping obligations.
Records will be retained only for as long as reasonably necessary for these purposes or as required by applicable law and will be handled in accordance with AutoDNA’s Privacy Policy.
AutoDNA will not use vehicle photographs, Customer information, or inspection records for public advertising, social-media content, or promotional case studies without separate authorization, except when the information has been lawfully anonymized so that the Customer, seller, and vehicle cannot reasonably be identified.
18. Cancellation, Rescheduling, and Inaccessible Vehicles
The Customer may cancel or reschedule without charge by notifying AutoDNA at least 24 hours before the scheduled appointment time.
A cancellation or rescheduling request received less than 24 hours before the scheduled appointment may result in a $99 late cancellation or rescheduling fee.
If the inspector has already been dispatched or arrives at the provided location and the Inspection cannot be performed or completed because:
- The vehicle is absent, sold, unavailable, locked, or materially different from the information provided;
- The seller, dealership, owner, or other representative refuses or restricts access;
- Required permission for inspection, diagnostic scanning, photography, or an included test drive was not obtained;
- The Customer or seller fails to attend when attendance is necessary;
- The vehicle cannot be started, accessed, or safely inspected;
- The inspection location is unsafe, unlawful, or unsuitable; or
- The Customer provided inaccurate or incomplete vehicle, location, seller, or appointment information,
the Customer will be responsible for the full price of the selected Inspection rather than the $99 late cancellation fee. The two charges will not be imposed together for the same appointment.
If AutoDNA cancels the appointment or cannot provide the service on the scheduled date, the Customer may accept a replacement appointment or cancel without charge. Any amount already paid for the unperformed Inspection will be refunded.
19. Payment and Delivery of Report
Payment is due as stated in the order confirmation or invoice. AutoDNA may withhold the complete report, photographs, scan results, or other deliverables until all applicable charges have been paid.
Except as expressly stated in these Terms or required by law, completed Inspection services and delivered reports are non-refundable.
A payment dispute or chargeback does not independently determine whether the service was properly performed and does not waive AutoDNA’s right to collect valid charges or provide supporting records to the payment processor.
20. Customer Review and Notice of Concerns
The Customer should review the complete report, photographs, scan results, limitations, and recommendations before purchasing the vehicle.
Questions, suspected factual errors, or concerns should be submitted to AutoDNA in writing as soon as reasonably possible and preferably within seven calendar days after delivery of the report. Prompt notice allows AutoDNA to review the inspector’s records while the information and vehicle condition remain reasonably current.
The seven-day period is a request for prompt notice only. It is not a contractual limitation period, condition precedent, waiver, or forfeiture of any right that cannot lawfully be limited or waived.
AutoDNA may, at its discretion, correct a clerical error, clarify a finding, review available records, or offer a reinspection. A correction, clarification, refund, or voluntary reinspection does not create a warranty, constitute an admission of liability, or expand the original scope of the Inspection.
21. No Warranty
THE INSPECTION AND REPORT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
AUTODNA MAKES NO EXPRESS OR IMPLIED WARRANTY REGARDING THE VEHICLE, THE COMPLETENESS OF THE INSPECTION, THE FUTURE PERFORMANCE OF ANY COMPONENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ROADWORTHINESS, SAFETY, TITLE, VALUE, OR THE ACCURACY OF INFORMATION PROVIDED BY THE SELLER OR A THIRD PARTY.
THE INSPECTION IS NOT A WARRANTY OR INSURANCE POLICY FOR THE VEHICLE. AUTODNA IS NOT RESPONSIBLE FOR THE COST OF REPAIRS, MAINTENANCE, TRANSPORTATION, STORAGE, RENTAL VEHICLES, LOSS OF USE, DIMINISHED VALUE, OR OTHER OWNERSHIP EXPENSES ARISING AFTER THE INSPECTION.
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUTODNA’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PARTICULAR INSPECTION, REPORT, ACT, ERROR, OR OMISSION SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO AUTODNA FOR THAT PARTICULAR INSPECTION.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUTODNA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF USE, LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITY, DIMINISHED VALUE, TRANSPORTATION COSTS, STORAGE COSTS, OR REPAIR COSTS ARISING FROM A CUSTOMER’S DECISION TO PURCHASE, DECLINE, SELL, TRANSPORT, OR OPERATE A VEHICLE.
These limitations apply regardless of whether a claim is characterized as contract, negligence, tort, misrepresentation, statutory claim, or another legal theory, but they do not exclude liability that cannot lawfully be excluded or limited.
Nothing in these Terms is intended to waive any non-waivable right or remedy provided by applicable law or to limit liability for fraud, willful misconduct, or gross negligence to the extent such limitation is prohibited by law.
23. Claims Involving the Seller or Vehicle
AutoDNA is not a party to any purchase, sale, financing, transportation, warranty, repair, or insurance transaction involving the inspected vehicle.
The Customer is responsible for confirming the vehicle’s purchase terms and resolving concerns with the seller before completing the transaction.
AutoDNA is not responsible for:
- False, incomplete, or misleading statements made by the seller;
- A seller’s failure to disclose damage or defects;
- Removal, substitution, damage, or alteration of any vehicle component or accessory before or after the Inspection;
- Repairs, code clearing, detailing, concealment, or modification performed by another person; or
- The seller’s refusal to honor a representation, warranty, refund, or repair agreement.
24. Governing Law and Dispute Resolution
These Terms and the related Inspection are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
The Customer and AutoDNA are encouraged to provide written notice describing any dispute and requested resolution and to make a good-faith attempt to resolve the matter informally before commencing legal proceedings.
This informal-resolution provision does not shorten any applicable statute of limitations, create a condition precedent with a notice period prohibited by law, or waive any non-waivable right.
Unless applicable law requires otherwise, any legal action arising from the Inspection or these Terms shall be brought in a court of competent jurisdiction located in Dallas County, Texas.
25. Electronic Communications and Acceptance
The Customer agrees that booking confirmations, inspection reports, invoices, notices, disclosures, and other communications may be provided electronically by email, text message, website, customer portal, or payment platform.
By electronically accepting these Terms, booking or authorizing an Inspection, or paying for or using the Inspection services, the Customer acknowledges that they have read, understood, and agreed to these Terms and the AutoDNA Privacy Policy.
Electronic acceptance and electronic records have the same legal effect as paper records and handwritten signatures to the extent permitted by applicable law.
26. Severability
If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed if necessary. The remaining provisions will remain in full force and effect.
27. Entire Agreement
These Terms, the selected package description, the order confirmation, and any written additions approved by AutoDNA constitute the entire agreement concerning the Inspection.
Any request, promise, representation, or modification that changes the scope of the Inspection must be confirmed by AutoDNA in writing.
AutoDNA’s failure to enforce any provision on one occasion does not waive its right to enforce that provision on another occasion.
